1. Acceptance of terms

By using Comprice (comprice.ai) you agree to these terms of service ("Terms"). If you do not agree to these Terms, do not use our service.

These Terms form a legally binding agreement between you (the "Partner" or "you") and SmittStudio OÜ (registry code 17442469, hereinafter "Comprice" or "we").

2. Description of the service

Comprice is a B2B SaaS platform that provides:

Product price comparison across e-shops (Estonian and international competitors)
API access to market price data and competitive intelligence
Automated price monitoring and alerts
Catalog management and feed processing
Position tracking and market analytics

Our service is intended for business use only, by authorised retailers, manufacturers and distributors.

3. Account registration and access

3.1 Eligibility

You must:

Be at least 18 years old
Have legal authority to bind your company to these Terms
Run a lawful e-commerce business
Provide accurate and complete registration data

3.2 Account approval

Creating an account requires administrator approval. We reserve the right to refuse service without explanation.

3.3 Account security

You are responsible for:

Keeping your API keys confidential
All activity that occurs under your account
Notifying us immediately of unauthorised access
Using strong security practices in your integration

Do not share your API keys with unauthorised parties.

4. API usage and limits

4.1 Rate limits

Your account is subject to limits according to your subscription plan:

Basic: 60 requests/minute
Growth: 120 requests/minute
Pro: 200 requests/minute
Custom: 300 requests/minute

Exceeding the limits may result in temporary or permanent suspension.

4.2 Fair use

You agree to:

Use the API only for its intended business purposes
Not attempt to circumvent limits or security measures
Not make excessive requests that burden our infrastructure
Not use automated scraping outside of API access
Not reverse-engineer or attempt to extract our algorithms

4.3 Use of data

You may:

Use price data for internal business decisions
Display competitive insights within your organisation
Produce reports for authorised staff

You may not:

Resell or distribute Comprice data to third parties
Publish raw data publicly
Use the data to harm competitors or manipulate markets
Build derivative databases for commercial purposes

5. Subscription plans and fees

5.1 Plans

We offer different subscription tiers with varying features, limits and pricing. The current plans are described on comprice.ai.

5.2 Payment

Fees are charged in advance, monthly or annually
All fees are non-refundable except where required by law
We reserve the right to change prices with 30 days' notice
Accounts with unpaid invoices may be suspended or terminated

5.3 Free trial

14-day trial: We offer a free 14-day self-service trial with no commitment. The trial account activates instantly and gives access to core features. After 14 days, access ends automatically unless a subscription has been taken out.

6. Data and privacy

6.1 Your data

You retain all rights to the product data you submit via feeds or the API. By using our service you grant us a licence to process, store and analyse your data solely to provide the Comprice service.

6.2 Market data

Aggregated and anonymised market insights generated by our service remain our intellectual property. We may use anonymised data to improve the service and for analytics.

6.3 Privacy

We process personal data in accordance with our privacy policy and GDPR. You are responsible for ensuring that your data transfers comply with applicable data protection laws.

7. Intellectual property

7.1 Our rights

Comprice, our logo, API, algorithms, user interface and all related technology are our sole property. These Terms grant you no ownership rights.

7.2 Trademarks

You may not use the Comprice name or logo without our prior written consent.

7.3 Feedback

If you submit suggestions or feedback, we may use them without any obligation or compensation to you.

8. Service availability

8.1 Uptime

While we strive for high availability, we do not guarantee uninterrupted service. We may perform maintenance, updates or suspend the service for technical reasons.

8.2 Data accuracy

We make reasonable efforts to ensure the accuracy of price data, but do not guarantee that all data is error-free or current. You are responsible for verifying critical information.

8.3 Changes to the service

We reserve the right to modify, suspend or discontinue any feature at any time with reasonable notice.

9. Limitation of liability

9.1 Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

9.2 Limitation of damages

TO THE EXTENT PERMITTED BY LAW, COMPRICE IS NOT LIABLE FOR:

Indirect, incidental, special or consequential damages
Loss of profit, revenue, data or business opportunities
Service interruptions or data inaccuracies
The actions of third parties or integrations

Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.

9.3 Exceptions

These Terms do not exclude liability for fraud, gross negligence or death/personal injury caused by our negligence.

10. Indemnification

You agree to indemnify and defend Comprice against any claims, damages or costs (including legal fees) arising from:

Your breach of these Terms
Your misuse of the service
Your violation of applicable laws or third-party rights
The data you submit to the service

11. Term and termination

11.1 Term

These Terms remain in effect for as long as you use our service.

11.2 Termination by you

You may terminate your account at any time via the dashboard or by contacting us. Termination does not entitle you to a refund.

11.3 Termination by us

We may suspend or terminate your account immediately if:

You breach these Terms
Your account shows abusive or fraudulent activity
Required by law or a regulatory authority
You fail to pay fees on time

11.4 Effects of termination

Upon termination:

Your API access is revoked
We delete your data within 90 days (subject to statutory retention requirements)
The intellectual property, liability and indemnification provisions survive

12. Governing law and disputes

12.1 Governing law

These Terms are governed by the laws of Estonia, excluding conflict-of-law rules.

12.2 Jurisdiction

Disputes are resolved in the courts of Harju County Court in Estonia.

12.3 Out-of-court resolution

Before bringing a claim, you agree to contact us at andres@comprice.ai to attempt an out-of-court resolution.

13. General provisions

13.1 Entire agreement

These Terms and our privacy policy form the entire agreement between you and Comprice.

13.2 Amendments

We may amend these Terms at any time. Material changes are communicated by email or a dashboard notice. Continued use after changes means you accept them.

13.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

13.4 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

13.5 Assignment

You may not assign these Terms without our consent. We may assign our rights to any successor or affiliate.

13.6 Force majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control (acts of nature, pandemics, infrastructure failures, etc.).
